1. Agreement to these terms

These Terms & Conditions (“Terms”) govern your access to and use of ReadyDM — our website, web application and API (together, the “Service”) — operated by Appweavers, a micro enterprise registered in India under Udyam Registration Number UDYAM-KL-02-0104042, with its registered office at Shantipuram 90, NGO Quarters, Kakkanad, Thrikkakara, Ernakulam, Kerala 682021, India (“ReadyDM”, “we”, “us”).

By creating an account, connecting an Instagram account, or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using ReadyDM on behalf of a company or organisation, you confirm you have authority to bind it, and “you” means that organisation.

2. Eligibility

• You must be at least 18 years old.
• You must have an Instagram Business or Creator account. Personal Instagram accounts are not supported by Meta's messaging APIs and will not work.
• You must own, or be authorised to manage, every Instagram account you connect. Connecting an account you are not authorised to manage is a breach of these Terms.
• You must not be barred from using the Service under any applicable law or by Meta.

3. Your account

You are responsible for keeping your login credentials secure and for everything that happens under your account. Tell us promptly at support@readydm.com if you suspect unauthorised access. Account information you give us must be accurate and kept up to date.

If you invite team members to your organisation, you are responsible for their use of the Service and for ensuring they follow these Terms.

4. What the Service does

ReadyDM monitors comments on the Instagram posts you select and, when a comment matches a trigger you configure, sends that person a direct message — and optionally a public reply — on your behalf, using Meta's official Instagram Graph API.

We may change, improve or discontinue features over time. If we discontinue something material to a paid plan, we will give you reasonable notice.

5. Instagram, Meta and your authorisation

By connecting an Instagram account, you authorise ReadyDM to access it and act on your behalf within the permissions you grant — reading your posts and comments, sending direct messages, and posting replies as configured by you.

If Meta suspends, revokes or changes our API access, we may have to suspend or change the Service with little or no notice.

6. Acceptable use

You must not use ReadyDM to:

• Send spam, unsolicited bulk messages, or messages to people who have not interacted with your content
• Send content that is unlawful, deceptive, fraudulent, harassing, hateful, defamatory, obscene, or that infringes anyone's rights
• Impersonate any person, brand or organisation, or misrepresent your affiliation
• Promote scams, illegal goods or services, or anything Meta's policies prohibit
• Collect, scrape, sell or transfer contact data obtained through the Service to third parties
• Circumvent rate limits, quotas, plan limits, or any technical restriction in the Service
• Reverse engineer, decompile, or attempt to extract our source code
• Resell, sublicense or white-label the Service without our written agreement
• Interfere with the Service's operation, security or availability, or access it by automated means other than our API
• Use the Service in breach of any applicable law, including data protection and anti-spam law

You are solely responsible for the content of the messages you configure and for having any consent that applicable law requires before messaging someone.

7. Your content

You keep all rights to the content you create in ReadyDM — your message templates, images, and the Instagram content we access on your behalf. You grant us a limited, non-exclusive, royalty-free licence to host, store, process and transmit that content solely to operate and provide the Service to you. This licence ends when you delete the content or your account, except for backups retained for a limited period.

You confirm you have the rights to all content you upload, and that it does not infringe anyone else's intellectual property or privacy rights.

8. Plans, limits and fair use

Current plans, prices and limits are detailed inside the Service and during onboarding, which forms part of these Terms. Each plan includes limits on monthly DMs, automations, connected Instagram accounts and team seats.

The free plan is offered as-is, with no service commitments, and we may change or withdraw it at any time. Automated messages that exceed your plan's monthly limit will not be sent until your quota resets or you upgrade. We may throttle or suspend accounts whose usage threatens the stability of the Service or our standing with Meta.

9. Billing and payment

• Paid plans are billed in advance on a recurring basis through our payment processor, Razorpay. Prices are in Indian Rupees (INR).
• Subscriptions renew automatically at the end of each billing period until you cancel. By subscribing, you authorise recurring charges to your chosen payment method.
• Prices are exclusive of taxes unless stated otherwise; you are responsible for any applicable GST or other taxes.
• If a payment fails, we may retry it and may suspend or downgrade your access until payment succeeds.
• We may change prices with at least 30 days' notice by email. Changes take effect at your next renewal, and you can cancel before then.
• Your invoices are available in your account billing settings.

10. Cancellation and refunds

You can cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period — you keep paid access until then, and you will not be charged again. When the period ends, your account moves to the free plan and its limits apply.

11. Suspension and termination

You may stop using the Service and request account deletion at any time by emailing support@readydm.com.

We may suspend or terminate your account, with notice where practical, if you breach these Terms, if your use puts our Meta API access or other users at risk, if we are required to by law or by Meta, or if your payment remains unpaid. For serious breaches — spam, fraud, illegal content — we may act immediately and without notice.

On termination, your right to use the Service ends and your automations stop. We handle any remaining data as described in our Privacy Policy.

12. Availability

We work to keep ReadyDM available and reliable, but the Service is provided without any uptime guarantee or service level commitment. Delivery of messages depends on Meta's APIs, which may be slow, rate-limited or unavailable for reasons outside our control. We may perform maintenance that temporarily interrupts the Service.

13. Third-party services

The Service depends on third parties including Meta, Google Firebase, Razorpay, Amazon Web Services and Cloudflare. Your use of those services may be governed by their own terms. We are not responsible for their acts, omissions, outages or policy changes.

14. Our intellectual property

The Service — including its software, design, branding and content — belongs to ReadyDM and its licensors, and is protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service. No other rights are granted.

15. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We specifically make no promise that:

• The Service will be uninterrupted, error-free or secure
• Every message will be delivered, or delivered within a given time
• Your use will produce any particular growth, engagement, revenue or business result
• Your Instagram account will not be restricted or actioned by Meta

16. Limitation of liability

To the maximum extent permitted by law, ReadyDM and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or relating to your use of the Service — even if we were advised such damages were possible.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us in the three months immediately before the event giving rise to the claim, or (b) ₹1,000.

Nothing in these Terms excludes liability that cannot lawfully be excluded, such as liability for fraud or death or personal injury caused by negligence.

17. Indemnity

You agree to indemnify and hold ReadyDM harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from your use of the Service, the content of the messages you send, your breach of these Terms, or your violation of any law or third-party right — including any claim brought by a recipient of a message sent through your account.

18. Changes to these Terms

We may update these Terms from time to time. We will update the “last updated” date above, and for material changes we will give notice by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts of Ernakulam, Kerala, India will have exclusive jurisdiction over any dispute, though either party may seek injunctive relief in any competent court to protect its intellectual property.

20. General

• Entire agreement — these Terms and the Privacy Policy are the entire agreement between us regarding the Service.
• Severability — if any provision is held unenforceable, the rest remains in force.
• No waiver — not enforcing a provision does not waive our right to enforce it later.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
• Survival — sections on content, IP, disclaimers, liability, indemnity and governing law survive termination.
